Whoops, missed this part of the question. I would drop the memory allocation to as low as you can afford to for W2K. If you make it TOO low, you may just end up moving the burden of swapping from linux/VMware to W2K, which would leave you worse off. BUT, if you are giving W2K more memory than it really needs, you make a lot more work for the host (linux/VMware) for little benefit, and often a loss. So long story short, I'd experiment and see how much W2K is swapping during whatever is a "normal" workload for you as you drop your VMWare memory allocation. When you get to the point where it looks like W2K is feeling the pressure, back off a little to give it some relief and go with that.
